These Terms of Service ("Terms") govern your access to and use of the Retap platform, including the business dashboard, customer-facing web application, NFC point-of-sale device, physical loyalty cards, and all related services (collectively, the "Service") operated by Retap, based in Tilburg, the Netherlands ("Retap," "we," "us," or "our").
By creating an account, subscribing to a plan, or using any part of the Service, you ("Business," "you," or "your") confirm that you have read, understood, and agree to be bound by these Terms. If you do not agree, do not use the Service.
1. Description of Service
Retap is a business-to-business loyalty platform that enables local businesses (cafes, bars, restaurants, shops, and similar establishments) to create and manage customer loyalty programs. The Service includes:
Business Dashboard — A web-based management interface for creating offers, viewing analytics, managing customers, and configuring your business profile.
Customer Web Application — A progressive web app (PWA) through which end customers discover businesses, collect points and stamps, and redeem rewards.
NFC Device — A near-field communication (NFC) point-of-sale device provided to you on loan for the purpose of scanning customer loyalty cards.
Physical Loyalty Cards — NFC-enabled cards distributed to end customers for use within the Retap network.
Push Notifications — Optional notification service to communicate offers and updates to your customers who have opted in.
The Service is provided as a cloud-based platform on an "as is" basis. Features, interfaces, and functionality may be updated, modified, or discontinued at our discretion with reasonable notice.
2. Eligibility and Account Registration
2.1. You must be at least 18 years old and have the legal authority to enter into a binding agreement on behalf of your business.
2.2. You must provide accurate, complete, and current information during registration, including your business name, address, city, email, and contact details.
2.3. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account.
2.4. One account per business establishment. Multiple locations require separate accounts.
2.5. You must promptly notify us at support@retapcard.net if you become aware of any unauthorized use of your account.
3. Subscription Plans and Payment
3.1. Pricing. The Service is available under the following subscription plans:
Monthly: EUR 49 per month
Annual: EUR 499 per year
Prices are exclusive of any applicable VAT or sales tax, which will be charged as required by law.
3.2. Billing Cycle. Subscriptions are billed in advance on a recurring basis (monthly or annually, depending on your chosen plan). Payment is processed automatically via Stripe.
3.3. Automatic Renewal. Your subscription renews automatically at the end of each billing cycle unless you cancel before the renewal date. You will be charged the then-current rate at renewal.
3.4. Free Trial. We may offer a free trial period at our discretion. During the trial, you receive full access to the Service at no cost. At the end of the trial, your subscription converts to a paid plan unless you cancel. No payment method is required during the trial period unless otherwise stated.
3.5. Price Changes. We may adjust our pricing with at least 30 days' written notice via email. If you do not agree with the new pricing, you may cancel your subscription before the next billing cycle.
3.6. Failed Payments. If a payment fails, we will notify you and may retry the charge. If payment remains unsuccessful after reasonable attempts, we may suspend or terminate your access to the Service.
3.7. Refunds. Subscription fees are non-refundable except where required by applicable law. If you cancel mid-cycle, you retain access until the end of the paid period.
4. Hardware: NFC Device and Loyalty Cards
4.1. Device on Loan. The NFC point-of-sale device remains the property of Retap at all times. It is provided to you on loan for the duration of your active subscription.
4.2. Proper Use. You agree to use the device solely for its intended purpose within the Retap platform, keep it in good working condition, and store it in a safe and appropriate location.
4.3. Replacement Cost. In the event of loss, theft, or intentional damage to the device, you are responsible for a replacement fee of EUR 100 (one hundred euros). Normal wear and tear from regular use is excluded from this fee.
4.4. Return of Device. Upon cancellation or termination of your subscription, you must return the NFC device to Retap within 14 days. Failure to return the device will result in a charge of EUR 100.
4.5. Loyalty Cards. Physical loyalty cards are provided at no additional cost. We ship replacement cards free of charge. Cards remain the property of Retap.
4.6. No Unauthorized Repair or Modification. You may not attempt to repair, disassemble, modify, or reverse-engineer the NFC device. Any unauthorized tampering voids all warranties and may result in a replacement charge.
5. Business Obligations
5.1. Card Distribution. You agree to actively distribute Retap loyalty cards to your customers. We recommend distributing at least 25 cards within the first 30 days of activation.
5.2. Accurate Information. You must keep your business profile (name, logo, address, opening hours, contact details) accurate and up to date. This information is displayed to customers in the Retap app.
5.3. Lawful Use. You agree to use the Service only for lawful purposes and in compliance with all applicable local, national, and EU regulations, including consumer protection laws.
5.4. Customer Interactions. You are solely responsible for the offers, rewards, and promotions you create on the platform. Retap is not a party to any transaction between you and your customers.
5.5. Staff Training. You are responsible for ensuring that your staff understands how to use the NFC device and the Retap platform correctly.
6. Acceptable Use
You agree not to:
Use the Service for any unlawful, fraudulent, or deceptive purpose.
Create fake transactions, manipulate points or stamps, or abuse the loyalty system.
Attempt to access other businesses' data or accounts.
Reverse-engineer, decompile, or attempt to extract the source code of the Service.
Use the Service to send unsolicited communications or spam to customers.
Resell, sublicense, or redistribute access to the Service without written permission.
Interfere with or disrupt the integrity or performance of the Service.
Violation of this section may result in immediate suspension or termination of your account.
7. Data Ownership and Intellectual Property
7.1. Your Data. You retain full ownership of the data you input into the Service, including your business profile, offers, and any content you upload (logos, images, descriptions).
7.2. Customer Transaction Data. Transaction data generated through the use of the Service (points earned, stamps collected, redemptions) is jointly accessible to you and to the end customer. You may view and export your business's transaction data at any time via the dashboard.
7.3. End Customer Data. Personal data of end customers (names, emails, points balances) is processed by Retap on your behalf. You are the Data Controller for your customers' data; Retap acts as the Data Processor. See our Privacy Policy and Data Processing terms for details.
7.4. Retap Intellectual Property. The Service, including its software, design, logos, trademarks, and all original content, is the exclusive property of Retap and is protected by copyright and intellectual property laws. You may not reproduce, distribute, or create derivative works without our prior written consent.
7.5. Limited License. We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for the duration of your subscription, solely for your internal business purposes.
7.6. Feedback. If you provide us with feedback, suggestions, or ideas, you grant Retap a non-exclusive, royalty-free, perpetual license to use such feedback for any purpose, including product improvement.
8. Data Processing and Privacy
8.1. Retap processes personal data in accordance with the General Data Protection Regulation (GDPR) and applicable Dutch data protection laws.
8.2. Our Privacy Policy (available at retapcard.net/privacy-policy) describes in detail what data we collect, how we use it, and your rights.
8.3. Where Retap processes personal data on your behalf (as Data Processor), the terms of our Data Processing Agreement apply. A copy is available upon request at support@retapcard.net.
8.4. You are responsible for ensuring that you have a lawful basis to collect and share your customers' personal data with the Service, including obtaining any required consents.
9. Service Availability and Support
9.1. Availability. We aim to maintain high availability of the Service but do not guarantee uninterrupted, error-free, or completely secure operation. Scheduled maintenance will be communicated in advance when possible.
9.2. Support. Customer support is available 24/7 via email (support@retapcard.net) and WhatsApp. We aim to respond to all inquiries within 24 hours.
9.3. Force Majeure. Retap is not liable for any failure or delay in performance caused by circumstances beyond our reasonable control, including but not limited to natural disasters, internet outages, third-party service failures, government actions, or pandemics.
10. Suspension and Termination
10.1. Cancellation by You. You may cancel your subscription at any time. Your access continues until the end of the current paid billing period. No partial refunds are provided for unused time.
10.2. Termination by Retap. We may suspend or terminate your account immediately if you:
Violate these Terms or any applicable law.
Fail to pay subscription fees after reasonable notice.
Engage in fraudulent or abusive use of the Service.
Become insolvent or cease business operations.
10.3. Effect of Termination. Upon termination:
Your access to the Service is revoked.
You must return the NFC device within 14 days.
You may request an export of your data within 30 days of termination.
After 30 days, we will delete your business data from our active systems, except where retention is required by law.
10.4. Survival. Sections relating to intellectual property, limitation of liability, data obligations, and governing law survive termination.
11. Limitation of Liability
11.1. To the maximum extent permitted by applicable law, Retap shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, revenue, data, business opportunities, or goodwill.
11.2. Retap's total aggregate liability arising out of or in connection with these Terms or the Service shall not exceed the total amount you have paid to Retap in the 12 months immediately preceding the event giving rise to the claim.
11.3. Nothing in these Terms excludes or limits liability for death or personal injury caused by negligence, fraud, or any other liability that cannot be excluded or limited under applicable law.
12. Indemnification
You agree to indemnify, defend, and hold harmless Retap, its officers, directors, employees, and agents from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising out of or related to:
Your use of the Service.
Your violation of these Terms.
Your violation of any third-party rights.
Any disputes between you and your end customers.
13. Third-Party Services
The Service integrates with third-party services including Stripe (payment processing), Supabase (data infrastructure), and Vercel (hosting). Your use of these services is subject to their respective terms. Retap is not responsible for the availability, accuracy, or content of third-party services.
14. Changes to These Terms
We may update these Terms from time to time. We will notify you of material changes via email at least 30 days before they take effect. Your continued use of the Service after the changes take effect constitutes your acceptance of the revised Terms. If you do not agree with the changes, you must cancel your subscription before the effective date.
15. Governing Law and Dispute Resolution
15.1. These Terms are governed by and construed in accordance with the laws of the Netherlands, without regard to conflict of law principles.
15.2. Any disputes arising out of or in connection with these Terms shall be submitted exclusively to the competent courts in Tilburg, the Netherlands.
15.3. Before initiating legal proceedings, both parties agree to attempt to resolve any dispute through good-faith negotiation for a period of at least 30 days.
16. Severability
If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall continue in full force and effect. The invalid provision shall be modified to the minimum extent necessary to make it valid and enforceable.
17. Entire Agreement
These Terms, together with the Privacy Policy and any applicable Data Processing Agreement, constitute the entire agreement between you and Retap regarding the use of the Service, and supersede all prior agreements, representations, and understandings.
